Hardware & Installation Terms

These Hardware & Installation Terms ("Hardware Terms") apply when you purchase, lease, or receive hardware from wakesys sàrl ("wakesys", "we", "us") or when wakesys performs on-site installation or training services.
1. Scope
These Hardware Terms apply to:
- RFID readers and antennas
- Displays and monitors
- Control boxes and electronics
- Computers and tablets
- RFID wristbands and cards
- Any other physical equipment supplied by wakesys
- On-site installation, configuration, and training services
2. Ownership and Title
2.1 Retention of Title
All hardware remains the property of wakesys until:- The full purchase price has been paid, AND
- All outstanding invoices have been paid in full
2.2 Your Obligations While Title is Retained
You agree to:- Keep the hardware in good condition
- Not sell, lease, or transfer the hardware to third parties
- Not use the hardware as security or collateral
- Notify us immediately if the hardware is seized, damaged, or stolen
2.3 Risk of Loss
Risk of loss or damage passes to you upon delivery, even while wakesys retains title.3. Delivery and Shipping
3.1 Shipping Costs
You are responsible for all shipping costs from Luxembourg or Germany to your delivery address.3.2 Import Duties and Taxes
You are responsible for paying any applicable import duties, customs fees, VAT, or other taxes.3.3 Inspection and Acceptance
Upon delivery, you must inspect the hardware for visible damage or defects within 5 business days.4. Installation and On-Site Services
4.1 Travel Expenses

| Driving | €0.70 per kilometer + fuel + insurance |
| Flights | Actual cost (economy class) + baggage fees |
| Accommodation | Up to €150 per night |
| Per diem | €75 per day |
4.2 On-Site Work
On-site work is billed at €120 per person per hour (or as specified in your Order Form).4.3 Installation Acceptance
You have 3 business days after installation to report any installation defects.5. Site Preparation
5.1 Your Responsibilities
Before our technicians arrive, you must:- Run all required cables and conduits
- Provide a working LAN network with internet access
- Provide adequate power outlets
- Have your electrician available during installation
5.2 Delay Charges
If the site is not prepared as required: €1,200 per day delay fee plus additional travel and accommodation costs.6. Technical Requirements
6.1 Internet Connection

6.2 Network Infrastructure
- Provide a working LAN network with internet access at all locations
- Use shielded (SFTP) Cat7 or Cat6a cables for outdoor or long runs
7. Warranty
7.1 Warranty Period

7.2 Warranty Coverage
- Defects in materials and workmanship
- Cost of replacement parts
- Return shipping from wakesys to you
7.3 Warranty Exclusions
- Damage from misuse, neglect, or accidents
- Damage from unauthorized modifications
- Damage from power surges or lightning
- Normal wear and tear
7.4 Spare Parts Availability
wakesys commits to making spare parts available for at least 5 years from the date of your Order Form.8. Insurance
You must maintain adequate insurance on the hardware from the date of delivery.
